Lan Luh Luh received her PhD in Business Policy from the National University of Singapore in 2005, Master of Law (First Class) from the University of Cambridge, UK in 1994 and a Book Prize in Law awarded by Magdalene College (1994). Prior to that, she was a former Overseas United Bank scholar (1985-1989) and graduated with an LLB (Hons) (2nd Upper) from the Faculty of Law, National University of Singapore in 1989. In addition, Dr Lan is a qualified Advocate & Solicitor of the Supreme Court of Singapore (admitted in 1989) and practised as a corporate lawyer with a top law firm in Singapore prior to joining the NUS Business School in 1991 where she taught “Corporate Governance” in the NUS EMBA (Chinese) Programme and the UCLA-NUS EMBA Programme until July 2022 as an Associate Professor of Law. She was also the Academic Director of the UCLA-NUS EMBA Programme from 2016 to 2022. Dr Lan Luh Luh transferred to the Faculty of Law, NUS in July 2022 and she currently teaches “Company Law”, “Securities Regulations and Governance” and “Corporate Finance Law” in in the LLB/LLM programmes. 

 

A lawyer by training and with specialisation in commercial law, her areas of research include the examination of legal issues concerning corporate governance, merger and acquisitions and regulations of the equity and debt markets. In particular, she has written many academic papers and case notes on corporate governance and directors’ legal duties which have been published in leading law and management journals such as the Singapore Journal of legal Studies, Journal of Business Law, Law Quarterly Review, Academy of Management Review and Harvard Business Review. She is also the co-editor of Financial Services and Law and one of the contributors to a number of authoritative law books such as Walter Woon on Company Law (CH Tan, editor), Woon’s Corporations Law (Walter Woon, editor) and Law relating to Specific Contracts in Singapore (TM Yeo and M Hwang, editors). She is currently on the editorial board of International and Comparative Corporate Law Journal and a board member of the International Corporate Governance Society. She was one of the board members of the Global Corporate Governance Colloquia from 2012-2022 and was the Chairperson of the Board from 2016-2017. She is also a research member of the European Corporate Governance Institute.

 

Her consulting experience includes advising on and reviewing of financing documentation such as syndicated loan agreements, venture capital financing, prospectuses and other legal issues relating to initial public offering and restructuring of family companies and groups. In addition, she is actively involved in the various regulatory reform activities relating to company law and corporate governance in Singapore and internationally.

 

Dr Lan is the current subject coordinator and examiner for Company Law of Part A Singapore Bar Examination administered by the Singapore Institute of Legal Education. She also serves on the Inquiry Panel of the Law Society of Singapore.  She is a council member of the Promote Mandarin Council and a member of the Chinese Culture and Language Advisory Panel for the People’s Association. She has also served on the Charity Council as council member (2013-2019) and on the audit committee of the Presbyterian Synod of Singapore (2013-2019).
